[OH] I’m filing to open an LLC in Ohio online; am I able to authorize the filing myself?
Yes, absolutely so. Under Ohio law, the sole member of a single-member LLC can also serve as the organizer who files and signs the Articles of Organization (OH Rev Code § 1706.27(A)).

When filing to open an LLC in Ohio online, what is expected on the "Who authorizes this filing?" Not the registered agent, but someone that is witnessing?
Lexi, Chatbot
I understand your concern: who will be authorizing the filing on behalf of the LLC?
Yes.
Lexi, Chatbot
Will this person be a member or manager of the LLC, or someone else entirely?
That is my question. I am the only person in the LLC, but wasn’t sure if I could also "authorize" the filing.

Is there anything else the Lawyer should know before I connect you? Rest assured they’ll be able to help with authorizing the filing for your LLC.
As long as the question is understood.
Dan
Hello and welcome to AskaLawyer! My name is Daniel, and it’s a pleasure to meet you!

Before I can provide an answer, I'd like to first ask you a couple of questions:
-
This is a single-member LLC?
-
Is it being formed via a lawyer, accountant or online?
Yes, single-member LLC and online.
Dan
Typically, the single member would be authorized. The member could also add an agent such as a lawyer or accountant.
Ok, but I can serve as the registered agent and also the authorizer?
Dan
Yes, absolutely so. Under Ohio law, the sole member of a single-member LLC can also serve as the organizer who files and signs the Articles of Organization (OH Rev Code § 1706.27(A)).

It's important to me that you fully understand the information and everything makes sense. If anything remains unclear, or if you have any additional questions, please feel free to let me know.
The application says:
"Note: The person signing cannot be the new limited liability company being formed.
Name (or Business Entity):*
By (if applicable)"
Dan
Best to have the member sign.
This is what it says online, so it sounds like I cannot:
"Authorize
This filing must be authorized by at least one person.
Please type the name of the person in the text field below, then click 'Add' button.
If the person is a business entity instead of an individual, please type the business name in the 'Name' box. An authorized representative of the business entity must type their name in the 'By' box."
Dan
You can use the name of the lawyer or accountant.
What if I don’t have one yet?
Dan
I would retain one, as an accountant will be needed.
Ok, yes I knew that but had not selected one yet. Thank you.
Dan
Most welcome. Thank you so much for sharing your questions with me. Please return to AskaLawyer whenever you have any other questions.
