Hi - I have a very specific and important legal question. I'm in the process of forming an LLC, but need to confirm that my services are not considered "professional services" under California law. If they are, an LLC is not allowed.

I am doing an asset sale. I currently have just a loan on some of the equipment that has no title attached. I also am in litigation of a lawsuit that is 1.5 years in against the company. The asset sale template doesn’t allow me to edit these clauses. Is this info needed to be shared with purchaser?

I entered into a contract to buy a business on the 23rd of June. The seller represented (and put it in the contract) that the company did not have loans, and that there was no more than $30k owed to various vendors, etc. He also stated that he had the lease on the building until the 15th and took money for the rent until the 15th (he put this in the contract also). The building owners came and said that he was behind on the rent, and he had no right to sublease. I've found so far a $98k loan, outstanding health insurance bills, vendor bills, etc., going up another $40k probably. He is holding the website and phone number hostage now. I'm locked out of the building. Can I just walk away from this contract at this point, given how misleading he was? I've paid, but I'm more concerned with the customers that are owed work.

Okay so a little context, I am a US veteran with 100 percent P&T, so I know if it's a co-owned business I lose out on some key benefits that would be beneficial since the co-owner isn’t a veteran. Is there like any technicality where on the LLC I can apply as a veteran-owned business, then have a co-owner in the operating agreement without the need to update the LLC to a multi-member and still be legally compliant? We have an operating agreement currently, is there a way you can look over that?

I have a YouTube podcast and I've had shirts designed for the podcast. I sell them on a friend’s website where he does print-on-demand for several bands and podcasters. I put a link to his site with my shirts on it, and if I sell one through his site, I make a commission off that. Is this something I need a business license for or any other types of permits?
