[NY] [NY] Do I need to file a certificate of amendment to clarify the ownership structure in an operating agreement?

The current member is an LLC in another state. I would like to update it to the ultimate beneficiaries of the LLC, which is my wife and I. While the ultimate beneficiary doesn't change because the current ownership is an LLC that my wife and I own. My question is: does that constitute a change in structure? As the name, address of the LLC remains the same.

I don't understand how to write meeting minutes. I know this website has a template, but it doesn't look like the example our bank gave us when we were trying to open a business account. [FL] I own a plumbing business in Florida; how do I create a contract for my clients stating that payment is rendered at completion of work and a percentage of the total bill is due prior to start?

I own a plumbing business in FL and am looking to create a contract/agreement for my clients to sign stating that payment is rendered at completion of work and a percentage of the total bill is due prior to start. We do a lot of remodels and require a down payment to get started. Typically these take several visits for completion.
